The Shareholder Rights Directive II is a European Union directive, which sets out to strengthen the position of shareholders and to ensure that decisions are made in favor of the long-term stability of a company.

SRD II amends SRD I which came into effect in 2007.
SRD II applies to companies that have their registered office in the EU and their shares listed on a regulated market in the European Union. Its implementation is due to be completed by September 2020.
